General Terms and Conditions of Sale

1-1 The application for a building permit.
1-2 All excavation, earthworks, masonry, reservations, sealing, etc.
1-3 Resistant and leveled access.
1-3-1 Up to the building for the delivery of supplies to the site by semi-trailer trucks and lifting equipment.
1-3-2 Around the construction with a width of 3 meters for ladders and scaffolding.
1-4 Storage areas.
1-4-1 For the storage of supplies.
1-4-2 For the installation of bungalows. NOTE : Our company reserves the right to stop work in the event of impractical terrain.
1-5 The supplies (within 30 meters of the furthest point of the construction).
1-5-1 Single-phase electrical supply of at least 15A with a protection box compliant with current legislation.
1-5-2 Potable water supply.
1-6 Cleaning of iron or materials soiled directly or indirectly by the terrain.
1-7 Various fees for building permits, control office, prorated account, expert assessments, etc.
1-8 Scheduling, management, and coordination of the various trades involved on the site (project management mission).
1-9 Additional work requested directly to the staff, not covered by an amendment.

2-1 You are required to display a building permit or regulatory work panel duly completed and visible to public authorities.
2-2 Please send us a photocopy of the building permit acceptance mentioning :
2-2-1 Any reservations.
2-2-2 The date of authorization to commence works.
2-2-3 To declare the date of commencement of works to your municipality.
2-2-4 To declare the date of completion of works to your municipality.

The order is considered placed :
3-1 By sending a confirmation from you via letter or fax on your letterhead, or via email including your contact details.
3-2 By returning the duplicate of our quotation duly accepted and signed, with mention of the date and signature.
3-3 Acceptance of the quotation implies acceptance of our general terms and conditions.

4-1 Quotation valid for 1 month or adjustable before the start of work based on raw material costs and labor cost changes.
4-2 Our prices are established based on the economic conditions in effect on the date of this quotation.
4-3 They are firm during the contractual period of the works.
4-4 They are subject to revision after the contractual period according to national building cost indices.

Delivery takes place from SARL DESSENNE’s premises, with products traveling at the customer’s risk and expense. The customer is responsible for inspecting the apparent condition of the products upon delivery. In the absence of express written reservations on the delivery slip, products delivered by SARL DESSENNE will be deemed to conform in quantity and quality to the order. The progress of our work is carried out according to an agreed schedule.

Note : our company reserves the right to stop work in case of non-payment according to the following conditions.

6-1 Free estimate.
6-2 Advance payment of 30% of the contract amount payable by check upon order confirmation.
6-3 Monthly progress payments and/or supplies payable by check upon receipt.
6-4 Balance of 5% upon completion of the works, payable by check upon receipt.
6-5 Delay : Any late payment will incur a surcharge calculated at the minimum legal interest rate from the expiration of the maximum legal payment period.
6-6 Zero discount for early payment.
6-7 VAT applicable on the invoice, according to current finance laws.
6.8 For each unpaid invoice, an automatic surcharge of €40 will apply as per the 2012 decree.
6.9 Any payment delay exceeding thirty days will result in the application of a penalty clause, namely a surcharge of 20% on the unpaid amount.

7-1 Ten-year insurance on the work if any of its constituent elements are affected, rendering it unfit for its intended use (structural integrity of the work).
7-2 Limited to that of our suppliers for materials (hardware, automation…): Products delivered by our suppliers benefit from a warranty period defined by the manufacturer, starting from the date of delivery, covering non-conformity of products to the order and any hidden defect resulting from a material, design, or manufacturing defect affecting the delivered products and making them unfit for use. This warranty is limited to the replacement or refund of non-conforming or defective products. Any warranty is excluded in case of misuse, negligence, or lack of maintenance by our customer, as well as in cases of normal wear and tear of the goods or force majeure. In order to assert their rights, our client must, under penalty of forfeiture of any related action, inform our company in writing of the existence of defects within a maximum period of 3 days from their discovery. Our supplier will replace or repair the products or parts under warranty that are deemed defective. This warranty also covers labor costs. The replacement of defective products or parts will not extend the duration of the above-mentioned warranty.
7-3 The company disclaims responsibility in case of force majeure (fire, floods, energy supply interruptions, strikes, including transport and postal services, bad weather, etc.).

8-1 It may be partially completed for one or several batches or
8-2 Overall at the end of the works.

Until full payment of the price by the client, we reserve the right of ownership over the various elements constituting our work, allowing us to repossess said elements. Any deposit paid by the client shall remain with the supplier as a lump sum compensation, without prejudice to any other actions the supplier may be entitled to take against the client as a result. However, the risk of loss and damage will transfer to the client upon delivery of the various elements. Therefore, the client undertakes to insure, at their own expense, the various elements in favor of the supplier with an appropriate insurance until full transfer of ownership, and to provide proof of insurance to the supplier upon delivery. Otherwise, the supplier would be entitled to delay delivery until the presentation of this proof. In the event of the client entering into insolvency proceedings and failing to fully pay the price, we reserve the right to reclaim the elements constituting our work within a period of 3 months.

The present general terms and conditions of sale are expressly agreed to and accepted by the client, who declares and acknowledges having full knowledge thereof, and therefore waives the right to invoke any conflicting document.

By express agreement between the parties, these General Terms and Conditions of Sale and the purchase and sale transactions resulting therefrom are governed by French law. They are written in French and English languages. Only the French text will be authentic in the event of a disagreement.

All disagreements arising from this contract, including its validity, interpretation, execution, termination, consequences, and outcomes, shall be submitted to the court of Saint-Quentin 02 Aisne.
